Aljazat Terms and Conditions of Service

These Terms and Conditions constitute a legally binding agreement governing the engagement between you ("Client" or "You") and Aljazat, a business consulting firm providing facilitation and corporate support services in the UAE. These terms define the scope of our responsibilities, your obligations, and the structure of fees and liability.

1. Scope of Service and Disclaimers (Defining Boundaries)

​

1.1. Facilitation vs. Advice: Aljazat provides administrative, advisory, and liaison services for company formation, visa applications, and related processes with UAE government and regulatory bodies. Aljazat is not a law firm, accounting firm, or tax advisor. We do not provide specialized legal, audit, or tax planning advice. You must secure independent professional counsel for such matters.

1.2. No Guarantee of Outcome: While we leverage our expertise to streamline applications, we do not guarantee the approval of any trade license, residency visa, or bank account application. All final decisions rest solely with the relevant UAE government authorities, free zone entities, or financial institutions.

2. Client Obligations and Documentation Accuracy (Mitigating Our Risk)

​

2.1. Mandatory Due Diligence: You must cooperate fully with all AML/KYC procedures requested by Aljazat and relevant authorities.

​

2.2. Warranty of Information: You warrant that all documentation, data, and information provided to Aljazat—including passport copies, financial statements, educational certificates, and background history—are 100% genuine, current, and legally accurate.

2.3. Consequence of Non-Compliance: You acknowledge that the submission of false, fraudulent, or misleading information may result in:

​

(a) immediate cessation of our Services without refund,

(b) rejection of your application by authorities, and

(c) legal penalties imposed by UAE law, for which Aljazat bears no liability.

3. Financial Structure, Fees, and Payment Terms

​

3.1. Quotation and Acceptance: Services are initiated only upon your written acceptance of a formal quotation and the receipt of the initial required payment.

3.2. Fee Differentiation: All invoices will clearly distinguish between two components: * Aljazat Service Fees: Compensation for our consulting, documentation, and facilitation efforts. * Government & Third-Party Fees: Costs paid directly to or on behalf of the client to authorities (e.g., license fees, visa application costs, medical exam fees, bank processing fees).

3.3. Currency and Taxes: All quoted fees are denominated in AED (United Arab Emirates Dirhams) unless otherwise specified. All fees are exclusive of applicable Value Added Tax (VAT) in the UAE, which will be itemized and added to invoices where required by law.

4. Refund and Cancellation Policy (Protecting Financial Assets)

​

This section details the strict conditions under which refunds are permitted:

4.1. Aljazat Service Fees: * Non-Refundable Upon Commencement: Once Aljazat has begun the work, including conducting KYC, preparing draft applications, or allocating personnel/resources, the initial service fee or a proportion thereof is non-refundable. * Refunds: A full refund of the service fee will only be considered if the Client formally withdraws the application before any service work has commenced and before any administrative costs have been incurred by Aljazat.

4.2. Government & Third-Party Fees: * NO REFUND: Government and Third-Party Fees (including license registration, visa filing, and court fees) are non-refundable once paid to the authority, even if the application is subsequently rejected, withdrawn, or delayed. Any potential refund on these fees must be pursued directly by the Client with the respective authority, though Aljazat can assist in the process.

4.3. Rejection Policy: If an application is rejected due to reasons outside of Aljazat's control (e.g., client background check failure, prior immigration issues, or policy changes by the authority), the full Aljazat Service Fee and all paid Government/Third-Party Fees are forfeited.

5. Limitation of Liability and Indemnity (Defining Risk Exposure)

​

5.1. Liability Cap: To the maximum extent permitted by UAE law, Aljazat's total cumulative liability to the Client for any and all claims arising from or related to these Services, whether in contract, tort, or otherwise, shall be strictly limited to the total amount of Aljazat Service Fees paid by the Client for the specific service engagement giving rise to the claim. We are not liable for consequential, indirect, or incidental damages, including lost profits or business interruption.

5.2. Indemnity: The Client agrees to indemnify and hold harmless Aljazat, its directors, and employees against all claims, costs, damages, and expenses (including legal fees) arising from any breach by the Client of Section 2 (Client Obligations) or the Client's non-compliance with UAE law.

6. Governing Law and Jurisdiction

​

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the United Arab Emirates and the Emirate of Dubai. Any judicial proceedings related to a dispute shall be exclusively resolved in the competent Courts of Dubai.

Your use of the Aljazat website and engagement of our services confirms your acknowledgement and acceptance of these Terms and Conditions.
